Who You Are
We are seeking a skilled professional who has the experience and maturity to handle end-to-end compliance and private fund matters to join 500 Global as Counsel (Funds and Compliance). This senior role is critical to support and advise our rapidly growing family of funds and oversee the Firm’s compliance program across our global team.
The ideal candidate should have the ability to structure and maintain private funds, lead negotiations with institutional investors, advise on associated regulatory issues and general corporate matters, and have a broad understanding of the legal and compliance frameworks governing exempt reporting advisers and/or RIAs.
Responsibilities
- Oversee the structuring, formation and offering of private funds and SPVs, working closely with the investment team, IR and external counsel to draft governing documents and negotiate side letter agreements with institutional investors.
- Maintain our existing family of funds, including LP secondary transfers, fund amendments, LP inquiries and regulatory matters.
- Manage and administrate the Firm’s compliance program, including: policies and procedures, regulatory filings (e.g. ADV), internal compliance training, privacy matters board updates, and the mitigation of potential conflicts of interest across our global operations.
- Review marketing materials and external Firm-level communications from a legal and compliance perspective.
- Contribute to the design and development of legal workflows and processes, team management, and strategic initiatives.
- Other duties as needed.
Minimum Qualifications
- 4 or more years of experience in a law firm and/or similar in-house role representing sponsors and investors on private fund formation and associated regulatory matters.
- Undergraduate degree and law degree from a reputable university, current bar admission in any state in the US.
- Familiarity with making regulatory filings and advising on issues arising under the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Advisers Act of 1940, and the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010, specifically in the context of Venture Capital transactions and private funds.
- Attention to detail, good drafting skills, clear communication and excellent problem solving skills.
- Ability to thrive in a fast-paced, entrepreneurial environment and the curiosity and willingness to tackle a variety of projects and roles outside of fund formation and compliance matters.
- Prior experience in venture capital, private equity, or a similar firm is a plus.
$120,000 - $145,000 a year
Pay Range Details: The pay range(s) are provided in compliance with state-specific laws. Exact compensation may vary based on skills, experience, and location.
