The General Counsel will establish and lead the legal function at August Bioservices. This role combines executive-level legal counsel  with hands-on contract management, ensuring our operations comply with the terms and conditions set forth in the contracts that we sign as well as with industry regulations. This role will develop an August Bio Master Service Agreement (MSA) template to cover commercial manufacturing contracts with clients. The template should set forth the ideal terms and conditions in long term contractual manufacturing contracts for August Bio, and be used as the standard against which other client-provided templates are evaluated for business risk.

Key Responsibilities:

    • Provide expert legal advice to the executive team on a wide range of legal issues. 
    • Oversee the company's legal function including managing  external legal resources. 
    • Ensure compliance with all applicable laws and regulations, including corporate governance, securities, employment, and intellectual property laws. 
    • Draft, review, and negotiate a variety of legal documents, including contracts, agreements, and policies. 
    • Work with external legal resources to manage any litigation and dispute resolution processes. 
    • Develop and implement legal strategies to protect the company's interests and mitigate risks. 
    • Stay current with changes in laws and regulations that may affect the company and provide proactive advice on potential impacts. 
    • Lead the drafting, negotiation, and execution of a wide range of commercial contracts, including master services agreements (MSAs), supply agreements, nondisclosure agreements (NDAs), internal employee agreements. 
    • Ensure client contracts are aligned with company policies, regulatory requirements, and industry standards. 
    • Implement and maintain a contract management system to track contract milestones and obligations. 
    • Provide training and guidance to internal stakeholders on contract terms and legal best practices. 
    • Collaborate with other departments to provide legal support for business initiatives and projects. 

Qualifications:

    • Juris Doctor (JD) degree from an accredited law school. 
    • Admission to the bar in the relevant jurisdiction. 
    • 8+ years of experience in a corporate legal environment and 4+ years in-house at a CDMO or other pharmaceutical company. 
    • Depth of knowledge around contractual framework and specific terms and conditions for outsourced commercial manufacturing contracts. 
    • Strong knowledge of corporate, securities, employment, and intellectual property law with experience in Pharmacy, CDMO, and Manufacturing Compliance preferred. 
    • Excellent negotiation, drafting, and communication skills. 
    • Proven ability to manage complex legal matters and provide strategic legal advice. 
    • Strong leadership and team management skills. 
    • High ethical standards and integrity. 
    • Ability to work effectively in a fast-paced and dynamic environment.
