Who we are looking for: 

Phoenix Tailings is looking for a General Counsel to join our team in Woburn, Massachusetts. Reporting to the Chief Executive Officer, as a critical leader on the executive team, the General Counsel will contribute to legal and business strategy development and lead legal execution and support for all worldwide commercial activities. This position will be a business-minded thought and proactive leader, as well as a practitioner. This role will be responsible for all commercial, transactional, and commercial special projects and matters for the Company and other matters as assigned by the Chief Executive Officer.

What you will do:

    • Set overall legal strategies and functional plans for the company, including activities to be performed in-house or through third-party relationships.
    • Handle complex matters such as supply chain agreements, IT agreements, technology and IP agreements, and commercial matters, including compliance with domestic and international manufacturing.
    • Manage the drafting and negotiation of global commercial agreements that comply with company policies and risk tolerance.
    • Continuously improve standard form agreements, legal processes, and contract management systems.
    • Manage corporate governance and legal compliance for US companies and related International entities.
    • Oversee all legal matters about the organization, including intellectual property and employment law matters and the coordination of any legal matters handled by outside counsel.
    • Corporate and product compliance oversight.
    • Assist in subsidiary management, including oversight of the preparation of state and regulatory filings.
    • Manage daily counseling of assigned business clients, domestically and globally.
    • Monitor and interpret relevant legal and regulatory developments that may impact the Company, proactively identify and advise on potential legal risks, and assist with operationalizing and implementing compliant products and services and operational controls.
    • Collaborate with others across the company to refine our product strategy and business opportunities continuously.
    • Handle legal issues relating to M&A activities, joint ventures, business combinations, and corporate restructurings.
    • Manage commercial legal budget and forecasting.
    • Develop and provide commercial training to the enterprise.
    • Assist in preparing and maintaining corporate governance documentation (i.e., meeting minutes, resolutions, secretary certificates, bylaws, charters, powers of attorney, delegations of authority, etc.).
    • Be responsible for maintaining director and officer information to align with legal and regulatory requirements.
    • Assist in maintaining corporate minute books and other official books and records of the holding company and assigned subsidiaries.

What you have:

    • Juris Doctor or equivalent degree from an accredited law school.
    • Must be an actively licensed attorney in the Commonwealth of Massachusetts.
    • Minimum of 15 years experience practicing law in a corporate environment with extensive experience in commercial matters, including contract drafting and negotiation.
    • Experience with technology and IP-related agreements, supply chain, and intellectual property experience; public company experience desirable but not a requirement.
    • Excellent written, oral, listening, and organizational skills with proven ability to interact effectively with varied audiences, including executive team members.
    • Excellent communication, negotiation skills, and executive-level presentation skills.
    • Ability to work under pressure, prioritize and manage workload, manage simultaneous tasks, and meet deadlines in a changing, fast-paced environment.
    • Proven ability to lead a team and excellent coach and mentor who values their team's success.
    • Strong interpersonal skills and emotional intelligence with the ability to stand firm on issues with business clients when necessary.
    • Track record of solid business partnering and providing best-in-class legal support across a spectrum of corporate/commercial legal issues.
    • Track record of working as a trusted advisor to the Exec Team & Board.

    • Experience practicing law in the legal department of a technology company is highly desirable.
    • Ability to pivot quickly with business needs and be highly responsive to clients and senior leadership.
