Position Overview - SENIOR LEGAL COUNSEL EUROPE
The ideal candidate for this role will have 5 – 7+ years of transactional experience in the software industry including experience drafting and negotiating customer and vendor order agreements, SaaS, and software license contracts. Experience or education in computer science or IP licensing preferred. Location in Europe.
The ideal candidate will also have strong organizational skills and be detail oriented with the ability to multi-task. The company values problem-solving skills and an interest in and openness to learning and developing new areas of expertise. Compensation is competitive.
Responsibilities:
- Drafting, reviewing negotiating, and presenting for execution a wide variety of inbound and outbound agreements, such as vendor agreements, customer order contracts, OEM and alliance agreements, distribution agreements, SaaS agreements, SOWs, Data Processing Agreements, Standard Contractual Clauses (and other cross border mechanisms) and NDAs;
- Lead legal efforts regarding customer compliance matters, including consulting with internal teams to develop strategies, drafting demand letters, notices, settlement negotiations, consulting with outside litigation attorneys.
- Work with internal clients to develop business and legal terms, counseling internal clients regarding rights and obligations as provided for in agreements.
- Provide advice regarding local, state and federal regulations applicable to the business.
- Leading the continuous improvement of templates of agreements and the contracting process.
Legal Training and Skills:
- Fully licensed as a Solicitor
- Experience in dispute resolution and mediation
- Experience in export compliance
- Experience advising on variety of privacy-related matters (DPAs, Transfer Impact assessments, etc.)
- Experience with variety of marketing vendor contracts (trade show agreement, lead generation agreements).
