The Corporate Counsel will report directly to the General Counsel and be an integral member of the legal team. This individual will primarily be responsible for working with internal stakeholders across the Company on a variety of legal needs in connection with our development of gene therapies for wet AMD and other diseases, providing legal advice on a wide range of matters, including SEC compliance, general corporate law, financings, contracting and labor and employment. The role requires a self-starter possessing exemplary collaboration, communication, leadership and influencing skills.  The role also requires a business-oriented and operations focused approach and a willingness to engage in ensuring the overall growth and success of the organization. 

What you'll do:

    • Support for SEC filings and internal processes, including preparation and review of all SEC filings (including Section 16 reporting, proxy statements, registration statements, Forms 8-K, 10-Q, 10-K and Form 4), in collaboration with various internal and external non-legal parties, including senior management, Board members, the Finance team, and vendors
    • Assist with the planning, preparation, conduct, and records of all Board of Directors and Committee meetings
    • Oversee the paralegal responsible for day-to-day management and maintenance of corporate governance records
    • Responsible for drafting, reviewing and negotiating a wide variety of agreements across the business in an efficient and risk-sensitive way including agreements supporting Adverum’s clinical, pre-clinical, quality, regulatory and manufacturing teams
    •  Provide advice and guidance related to contractual rights and obligations, as well as interpretation of terms and conditions
    • Provide legal support to the People Team pertaining to labor and employment matters and compliance
    • Build trusted advisor relationships in addition to influencing and collaborating effectively across all levels of the Company
    • Actively participate in legal department administration and operations working closely with the General Counsel and other department staff
    • Demonstrate subject matter expertise in substantive legal areas managed, keep abreast of new developments, and instill best practices
    • Act as a proactive business partner to all levels of the organization and build trusted advisor relationships in addition to influencing and collaborating effectively across all levels of the Company
    • Actively participate in legal department administration and operations to help ensure a successful legal team
    • Develop deep knowledge of the Company’s business and provide thoughtful, creative and  business-minded legal advice  and recommendations to achieve business and strategic objectives
    • Demonstrate subject matter expertise in substantive legal areas managed, keep abreast of new developments, and instill best practices; and
    • Perform additional duties as assigned

About you:

    • Strong interpersonal skills, and ability to communicate and collaborate with colleagues at all levels of the organization, as well as with the Company’s business partners and vendors, in a positive and effective manner
    • JD from a reputable ABA accredited law school; membership in at least one state bar
    • 5+years of relevant legal experience, with increasing responsibilities
    • Excellent analytic ability, nuanced judgment and exceptional problem-solving skills
    • Effective oral and written communications skills
    • Demonstrated work ethic and team-first mentality
    • Must have the ability to multitask, prioritize appropriately, exercise sound judgment and work in a fast-paced environment
    • Enthusiastic team player with ability to work both independently with minimal direction and collaboratively with small, cross-functional teams

$240,000 - $275,000 a year
The salary range for this position is $240,000 USD to $275,000 USD annually, with the opportunity to earn an annual bonus. This salary range is an estimate, and the actual salary may vary based on a candidate’s qualifications, including education, length of experience, location, and market data.  Employees in this position are eligible to participate in the applicable Company equity incentive award plan. The amount of incentive varies and is subject to the terms and conditions of the plan.  Employees in this position are eligible to participate in the Company’s standard employee benefit programs, which currently include the following: medical, dental, vision, 401k, STD/LTD, life and accident insurance, and either paid time off or flexible paid time off.
