About Us: Artera is an AI startup that develops medical artificial intelligence tests that personalize therapy for cancer patients. Artera is on a mission to personalize medical decisions for patients and physicians on a global scale.

Artera is seeking an experienced attorney to support all legal and compliance activities across the organization, including complex contract negotiation, corporate governance, and intellectual property. The Associate Counsel will have the opportunity to support developing processes and infrastructure, and work with external counsel while reducing reliance on outside counsel. This role will partner with all departments across the business to help them meet their business objectives while protecting the company.

Essential Responsibilities:

    • Support the full suite of legal work, including legal structure management, contracting, fundraising, corporate governance, and IP
    • Support development and implementation of compliance programs including HIPAA, privacy and fraud & abuse
    • Advising cross-functional stakeholders on FDA regulatory submissions and privacy and data use
    • Drafting, reviewing, and negotiating a wide range of contracts in support of product development, operations, and commercialization (which may include confidentiality agreements, consulting agreements, materials transfer agreements, business associate agreements, clinical trial agreements, managed care contracts and various vendor services agreements and master agreements)
    • Developing and implementing training to internal team members, partners and stakeholders on key policies, procedures, practices and requirements for healthcare and related legal compliance, and on current enforcement trends
    • Advising on and supporting international expansion efforts 
    • Stay abreast of all business development matters and take lead on legal matters related to negotiations for high-value deals
    • Support major corporate, debt and financing transactions
    • Selectively and concisely raise issues to the Leadership Team where their input is required
    • Advise on company-critical legal, compliance, competitive and risk-balancing issues

Education and Experience Requirements:

    • J.D. from accredited, competitive law school
    • Minimum of 5 years of in-house (preferably start-up) and major law firm experience
    • Results-driven, proactive, detail-oriented, and attentive to general business matters 
    • High intellectual strength, analytical ability and curiosity
    • Concise, effective written and verbal communicationHigh-level understanding of financial, business and strategic matters
    • Experience structuring, negotiating, drafting and explaining complex corporate transactions in diagnostics or life sciences industries, including licensing transactions
    • Ability to comfortably interact on technical (medical, biological, chemical) issues and with scientists, engineers and medical professionals
    • Strong interpersonal skills, across all organizational levels
    • Ability to thrive in a fast-paced, dynamic environment
    • High levels of personal drive, initiative and confidence
