Articulate is seeking a Sr Counsel II, Commercial to be an integral member of our amazing and growing Legal team. This role will operate as a senior legal leader with a deep understanding of the commercial landscape and business strategy, delivering legal counsel aligned with long-term organizational goals. We’re looking for a highly collaborative, hard-working, and personable attorney to draft and negotiate SaaS contracts, reseller/distributor agreements, as well as professional services, consulting, and other types of commercial contracts, as needed. This person must have excellent communication and problem-solving skills, the ability to work independently, but also to partner within the Legal team and with key stakeholders across the organization at all levels to execute key initiatives and drive projects to completion. This role will serve as a trusted advisor to business leaders and help shape legal strategy for commercial transactions.

What You'll Do:

    • Draft and negotiate complex SaaS agreements, NDAs, and other commercial documents to support Sales, Customer Success, Order Management, and Finance teams to facilitate a quick close to deals. 
    • Partner with the business, including IT and InfoSec, to analyze, onboard, draft, and negotiate vendor agreements in support of the company’s procurement requirements. 
    • Provide practical legal guidance in a digestible manner.
    • Contribute to the ongoing development of the Legal team’s processes, including development or refinement of templates, playbooks, policies/procedures, workflows, trainings, etc.
    • Work independently with limited supervision but also support the team culture both within the Legal group and across the organization.
    • Align with and fully support the organization’s goals and human-centered culture.
    • Partner closely with, provide advice to, and influence outcomes with business teams by participating in key strategic and operational decisions and initiatives, including new products.  
    • Manage and coordinate outside counsel on specific issues or proceedings, as needed. 
    • Mentor, develop, and provide guidance to other attorneys and Legal staff through constructive feedback, ownership of legal initiatives, and modeling effective behaviors. 
    • Lead cross-functional initiatives to improve contract processes and reduce cycle times. 
    • Develop and deliver training to business teams on contract processes and legal requirements. 
    • Proactively identify legal and business risks in evolving business models and recommend scalable frameworks to mitigate long-term exposure.
    • Participate in the development of legal department policies and best practices.

What You Should Have:

    • Minimum 8+ years of experience drafting and negotiating commercial SaaS contracts. A combination of law firm and in-house experience is highly preferred. 
    • Experience with a variety of commercial contracts, including vendor, software, professional services, and consulting arrangements.
    • Experience in technology law issues such as software and application licensing, cybersecurity and data privacy, cloud, SaaS, and intellectual property.  
    • Able to act quickly and decisively in a fast-paced environment, balancing multiple deals while still managing within the organization's risk tolerance.
    • Highly effective verbal and written communication skills, in particular, in the context of partnering with stakeholders and building relationships outside of the legal team. 
    • Familiarity with AI-powered legal tools and willingness to adopt new technologies that enhance contract review and legal operations.
    • A “roll up your sleeves,” curious and team-oriented mindset, with a sense of humor and demonstrated growth mindset. 
    • Experience working within a B2B sales environment.
    • Juris Doctor (J.D.) degree from an accredited U.S. law school, and active admission in at least one State Bar.
    • Proficient in MS Office Suite, and familiar with G-Suite and Slack.
    • Be located within the United States.
    • Demonstrated ability to balance legal risk with business objectives. 
    • Experience mentoring other attorneys or legal professionals. 
    • Track record of process improvement and efficiency initiatives.

    • You are a recognized legal thought leader who stays current on changes in SaaS transactions, licensing frameworks, and data privacy regulations – with the demonstrated history of sharing this expertise broadly across teams.
    • You have experience supporting enterprise sales and complex commercial transactions. 
    • You have experience with international contracts and cross-border legal issues. 
    • You have a proven track record of building strong relationships with business stakeholders.
    • You embrace technological innovation and are comfortable using AI-assisted tools to improve efficiency and accuracy in legal work.
    • You thrive in a collaborative environment while maintaining independent judgment.
$173,800 - $260,600 a year
The pay range for this position is $173,800 to $260,600 for all US locations. Articulate takes into consideration a wide range of factors that are utilized in making compensation decisions including, but not limited to, skill sets, experience and training, licensure and certifications, qualifications and education, and other business and organizational needs.
