Belkins is seeking a Lead Legal Counsel (Head of Legal) to lead our legal function, providing strategic legal guidance for global expansion. This role focuses on overseeing legal operations, ensuring compliance, and managing corporate governance and partnerships.

As a Lead Legal Counsel, you will:

    • Legal Oversight & Daily Operations: Provide day-to-day legal oversight of business operations, ensuring compliance, risk management, and smooth execution of legal workflows.
    • Client Contracts Management: Lead drafting, reviewing, and negotiating client contracts (including insurance clauses, SLAs, liability frameworks), ensuring terms protect the company’s interests while enabling business growth.
    • Corporate Structure & Governance: Handle registration and maintenance of holding structures across jurisdictions, oversee corporate governance, and ensure compliance with shareholder and board requirements. Support respective reporting, in jurisdictions, where applicable.
    • Domain & Technical Compliance: Manage legal aspects of domain registrations, certifications, and other technical compliance processes falling under legal responsibility.
    • Intellectual Property: Oversee and execute IP protection strategies, including trademarks, copyrights, and other relevant registrations.
    • Negotiations with Enterprise Clients: Represent the company in high-stakes negotiations with large enterprise customers, ensuring balanced outcomes that protect company interests.
    • Investment & Partnership Matters: Manage the legal side of mergers and acquisitions (due diligence, drafting contracts, and negotiations); structure and revise financing tools like SAFE, KISS, LoI , and convertible notes; work with advisory and partnership agreements.
    • External Counsel Collaboration: Work with outside counsel for highly specialized matters, ensuring efficiency and cost-effectiveness.
    • Legal Process Optimization: Implement legal tech tools and automation to streamline contract management and internal processes.
    • Data Protection & Security (US/EU): Drive global privacy compliance (US laws, GDPR), manage DSRs, breach notifications, ROPA/DPIAs, and cross-border transfers, while partnering with security on incident response, contractual requirements, and audits/certifications.
    • Bad Debts & Collections: Oversee collections protocols, ensure lawful recovery practices, and manage escalations to external counsel for legal recovery where necessary.
    • KYC & Onboarding Support: Define and enforce KYC tiers, verification and screening processes, and integrate requirements into onboarding workflows. Lead vendor due diligence, negotiate DPAs/security addenda.
    • Employment (Consulting) & Freelance Staff: Manage legal onboarding, contracting (engagement letters, IP/confidentiality, tax/status clauses), and offboarding for consultants and freelancers to ensure compliance and protect IP.

You will definitely be successful in this role if you:

    • Hold a Master’s Degree in Law.
    • Have proven hands-on expertise in commercial contracts, negotiations, and corporate law - not just oversight.
    • Have prior experience leading a legal function (even a small team), balancing strategy with direct execution of complex legal tasks.
    • Demonstrate solid knowledge of U.S. and EU legal frameworks, including corporate governance, commercial contracts, intellectual property, data protection and informational security, as well as compliance matters.
    • Are able to independently manage multiple high-priority projects in a fast-paced, international business environment.
    • Communicate fluently in English (C1 preferred, B2+ minimum) and Ukrainian (required).
    • Possess strong business acumen and the ability to weigh legal risks against commercial opportunities.
    • Demonstrate exceptional communication and negotiation skills with both internal stakeholders and external enterprise clients.
