The Non-Executive Director will play a key role in providing independent oversight, strategic direction, and governance to the Company. This includes challenging and supporting the executive team, ensuring the Company’s compliance with applicable financial services regulations, and upholding principles of transparency, accountability, and ethical business conduct.

Responsibilities:

    • Provide strategic oversight and contribute to the development and review of the Company’s long-term business plans and objectives.
    • Ensure that effective systems of financial control, risk management, and regulatory compliance are in place.
    • Support the monitoring of business performance, including reviewing financial and operational reports and providing objective challenge to management.
    • Promote and uphold a strong culture of ethics, accountability, and compliance throughout the organisation.
    • Ensure alignment with the King IV Code of Corporate Governance and other applicable frameworks, including the Financial Markets Act and FSCA guidelines.
    • Participate actively in board and committee meetings, bringing independent judgement and constructive challenge to discussions.
    • Maintain oversight of management’s execution of approved strategy, policies, and risk controls.

Requirements:

    • A bachelor’s degree in finance, economics, business, law, or a related field.
    • Minimum 5 years of relevant experience in financial services, preferably in money or capital markets, investment, or brokerage.
    • Must have recent experience in retail financial services (ideally brokerage) in South Africa and strong working knowledge of the South African financial services regulations and requirements.
    • Must meet the Financial Sector Conduct Authority’s (“FSCA”) Fit and Proper requirements, including class of business and product-specific training where relevant.
    • Must not have a history of fraudulent financial dealings or regulatory breaches.
    • Must have understanding of corporate governance, financials and risk management.
    • Must have strong leadership skills.
    • Be comfortable in a fast-paced environment, where non-routine and/or complex issues are common.
    • Be able to handle complex issues, projects, and processes.
    • Demonstrate strong moral and ethical principles. Be willing to learn, accept accountability, demonstrate initiative and support effective co-operation.
    • Strong sense of financial integrity, responsibility and being able to carry on the regulated activity competently, honestly and fairly.
    • Be of good reputation, character and being reliable.
