Position Overview:
We are seeking a highly organized and detail-oriented paralegal to join our legal team. This role is pivotal in supporting the legal department’s efforts by drafting and negotiating client contracts, non-disclosure agreements, and other documents in collaboration with Corporate Counsel. The Contract Specialist will manage the end-to-end vendor contracting process, ensuring compliance with procurement and security requirements, and will serve as the custodian of all legal documents. The ideal candidate will have a keen eye for detail and a strong understanding of contract management, enabling them to standardize document templates and maintain a user-friendly contract repository. This role also involves evaluating contract requests, developing new contracting strategies, and supporting the legal team in a variety of subject areas, including labor and employment, data privacy, and international expansion. The Contract Specialist must be able to juggle multiple priorities, meet deadlines, and adapt to a dynamic work environment.

What You'll Do

    • Draft and negotiate simple client contracts, non-disclosure and other agreements, in collaboration with Corporate Counsel, using internal templates.
    • Manage/facilitate the end-to-end vendor contracting process in collaboration with the procurement process and security operations requirements. 
    • Coordinate, update and standardize document templates (e.g., NDA, MSAs, SOWs, Consulting Agreements) identifying and distinguishing key differences 
    • Develop and maintain an organized contract intake process, ensuring all necessary information for contract review is obtained from business stakeholders.
    • Organize and manage a central contract repository, enhancing accessibility, efficiency and effectiveness.
    • Serve as custodian of all pending and executed contracts, policies, and other legal documents maintaining high standards of organization and accessibility.
    • Evaluate contract requests and provide support in the development, documentation and implementation of new contracting strategies and procedures.
    • Assist in gathering and analyzing legal information across a wide variety of area  including statutes, regulations, case law, and other legal resources in a variety of subject areas including labor and employment, and data privacy laws.
    • Handle various assignments, projects, and administrative duties including expansion of services internationally, data privacy law, litigation, subpoenas and other legal matters.
    • Prioritize and manage multiple tasks and deadlines simultaneously, with the flexibility to adapt to changing priorities and needs of the business.

What You'll Need to Succeed

    • A paralegal degree or certificate, or advanced degree in law.
    • Prior in-house legal department experience
    • Good working knowledge of common commercial agreements, clauses and contracting practices.
    • Computer and technical knowledge as well as strong analytical and organizational skills.
    • Excellent communication and time management skills.
    • Excellent writing and proofreading abilities.
    • Must be detail-oriented and proactive.
    • Experience with office software/tools (e.g., Microsoft Office apps, Adobe Pro, Docu-Sign SharePoint; Microsoft Teams, Excel).
    • Experience with contract management systems including ContractWorks
    • Professional ethics and discretion, including ability to maintain a high level of confidentiality.
    • Strong understanding of best contracting practices and the ability to monitor new developments in contracting practices and processes. 
    • Ability to work in a fast paced, cross-functional team atmosphere.
