The successful candidate will be responsible for providing legal advice on corporate matters of the Group entities located around the world. This is a business-facing role in a dynamic and fast-paced environment with regular exposure to senior stakeholders.

What will I be doing?

    • Drafting, reviewing, and negotiating a wide range of intercompany agreements, service agreements, cost-sharing arrangements, loan and guarantee agreements, novation agreements, and corporate support documentation to enable seamless operations across the Group’s subsidiaries.
    • Supporting M&A transactions, corporate restructurings, and capital markets activities, including due diligence, document preparation, and coordination with external advisors and internal stakeholders.
    • Assisting with banking, financing, and treasury-related legal matters, including the review and negotiation of credit facilities, derivatives documentation (e.g., ISDAs), and KYC/legal onboarding materials.
    • Managing corporate governance and corporate secretarial responsibilities, including entity formations and dissolutions, maintenance of corporate records, drafting board and shareholder resolutions, and ensuring compliance with local legal and regulatory requirements.
    • Partnering with legal team members across our global organization and working with senior colleagues and functional leaders on a variety of strategic projects, regulatory issues, product development, business development opportunities, and legal department operational matters.
    • Creating and advising on templates, policies, and procedures to address new requirements.
    • Supporting the preparation, filing, and tracking of legal documentation related to corporate actions, regulatory filings, and internal approvals.

What skills do I need?

    • A qualified lawyer with a law degree is required.
    • Minimum of 5 years of post-qualification experience, ideally gained at a major law firm and/or in-house in the Financial Services industry or M&A.
    • General legal background with solid experience in commercial, contractual, and corporate law matters.
    • Knowledge and understanding of payments, financial services, or fintech is highly desirable.
    • Fluent in English, with excellent written and verbal communication skills.
    • Proficiency in Spanish is a plus.
    • Strong business-oriented mindset with the ability to effectively collaborate with commercial and operations teams.
    • Tech-savvy and comfortable working with digital tools, platforms, and legal technology solutions.
    • Ability to proactively identify relevant business and legal issues.
    • Skilled at applying the law to novel situations and finding pragmatic, creative solutions to business challenges.
    • Highly analytical with strong attention to detail.
    • Excellent interpersonal and communication skills, with the ability to quickly assimilate information and work under pressure.
    • Creative thinker with solid problem-solving skills and the ability to remain calm in challenging circumstances.
    • Team player with the ability to contribute effectively to international and cross-functional teams and projects.
    • Self-motivated, intelligent, and enthusiastic, with the ability to work independently.
    • Flexibility to work with colleagues across South America, Europe, the United States, Africa, and Asia, including accommodating time zone differences for calls and deadlines.
