Position Overview:

The Senior Counsel will be responsible for advising and guiding the Endpoint Clinical Executive Leadership Team (ELT) on legal matters. You will be responsible for developing legal strategies to protect and promote Endpoint’s interests, ensuring the delivery of legal services to accomplish corporate goals strategies, and priorities. This role involves managing the negotiating, structuring, and management of contractual documents that establish business relationships with vendors, customers and/or partners. The Senior Counsel contributes to and supports the company's goals to deliver best-in-class clinical trial technology and client success.
 
The Senior Counsel candidate should have interest in growing in this role to eventually provide full scale General Counsel services to Endpoint Clinical, including building out a Legal & Compliance Department and team as the company expands.

Responsibilities:

    • Oversee the development and negotiation of contracts including: Master Service Agreements, SaaS Agreements, Statement(s) of Work, Indemnity Agreements, Non-Disclosure Agreements, and Intellectual Property agreements
    • Maintain a thorough knowledge of data rights for the collection/use of third party data, including privacy implications of individually identifiable data (i.e. HIPAA, GDPR)
    • Familiarity with legal and regulatory requirements related to clinical trials and clinical trial platforms
    • Advise the CEO and ELT members on a variety of legal and compliance issues
    • Maintain and update established contracting postures (i.e. playbook)
    • Maintain contracts and other legal documentation in SharePoint
    • Manage contracts staff providing regular performance feedback, development and coaching
    • Work alongside external legal counsel or other advisors to advise the company on other legal and compliance matters
    • Work collaboratively with related functions in the organization to effectively manage all legal, compliance and related risks in the best interests of the company
    • Identify opportunities to increase efficiency, reduce costs, and improve processes, especially through the use of AI
    • Manage the IP portfolio with support from outside counsel
    • Support legal employment matters
    • Manage corporate secretarial vendors handling global footprint of companies

Education:

    • JD degree from an accredited law school and excellent academic credentials

Experience:

    • Member of the Bar in the state in which he/she resides
    • 7-10 years of legal experience at either a law firm or in-house at a healthcare technology company, a combination of experiences a plus
    • Previous experience with external counsel management

$150,000 - $200,000 a year
