The Counsel role will support the Capital Markets Legal team, focusing on the structuring, negotiation, and execution of financing transactions related to residential solar and sustainable home improvement projects. This includes drafting and managing forward flow agreements, leveraging investment tax credits, and working on asset-backed structured finance facilities. Counsel will work with and support in-house legal team members and provide advice on legal issues and support to all sectors of the business with regards to finance.
Essential Job Duties & Responsibilities:
- Draft, review, and negotiate a wide range of financial and legal documents related to project financing, ensuring compliance and alignment with company objectives, applicable laws and regulations. Provide advice on legal finance matters.
- Support onboarding of new investors, providing comprehensive due diligence support and ensuring a seamless integration process. Help maintain investor relations, including managing inquiries and ensuring compliance with reporting obligations.
- Manage and organize transaction documents and compliance records internally to ensure ease of access, reference and communication of requirements across the business.
- Perform other tasks as assigned from time to time by the company.
Required Skills, Knowledge & Abilities:
- Must have a Juris Doctor (JD) degree from an accredited law school.
- Active bar admission in the state of practice.
- Competence as a finance lawyer with at least 3-5 years of experience
- Must have experience in structuring and negotiating capital markets and structured finance transactions.
- Preference for candidate with experience in solar, sustainable development and consumer finance matters.
- Proven ability to manage multiple projects and deadlines in a fast-paced, dynamic environment.
- Excellent communication (oral and written) and interpersonal skills, capable of fostering positive relationships with investors and working collaboratively with internal teams.
- Sound judgment with ability to make reasoned recommendations, cross think and determine who should be kept informed.
- Self-starter with good business sense and a sense of urgency, honesty, and fairness.
- Good team player; calm under pressure.
- Independent, self-confident and positive; inspires confidence from internal and external clients.
Compensation: 175k-215k
