Gowan Group is looking for an In-House Legal Counsel to assist our General Counsel with the handling of all legal affairs.

Duties and Responsibilities:

    • Draft, review and assist in the negotiation of supply agreements, vendor contracts, licensing agreements, and other contracts needed to conduct the company’s business.
    • Provide legal advice on contractual obligations, enforcement of contracts, and commercial disputes, as well as identify issues on intellectual property rights, technology agreements, labor disputes and related issues.
    • General corporate counsel on competition law principles focusing on the context of supply/distribution agreements and sales and marketing. 
    • Support corporate transactions such as acquisitions, creation of new legal entities and joint ventures, corporate reorganizations.  Participate in due diligence and M&A activities.
    • Provide support and monitoring for corporate governance in relevant jurisdictions.
    • Provide legal support over compliance initiatives.
    • Collaborate with Finance, Treasury, Tax and Risk Management teams on banking and investment matters, intercompany agreements, cross-border business and tax planning, internal controls and litigation.
    • Monitor litigation and arbitration as assigned.

Required Qualifications:

    • Qualified solicitor or barrister admitted in England and Wales
    • Relevant professional experience in a corporate legal department or independent law firm
    • Demonstrated experience in analyzing complex business issues and legal issues/risks to advance practical business-oriented solutions
    • Excellent oral and written communication skills
    • Goal driven, focused team player
    • Agrochemical or chemical related industry experience is a plus
    • Italian language skills are a plus 

Travel:

    • This position reports to the Gowan Group General Counsel, located in Yuma, AZ, U.S.A.
    • Some domestic and international travel may be required.
