We are seeking our founding Legal Counsel to join our team. The Corporate Legal Counsel will provide guidance on commercial contract negotiations, while exercising excellent business judgment, managing risk, and employing creative-problem solving solutions. Typical transactions will range from NDAs and standard contracts to complex, high-value customer agreements. 

The role:

    • Review and negotiate SaaS agreements, software agreements, customer contracts, reseller agreements, supplier contracts, data processing agreements and other types of commercial agreements.
    • Draft, negotiate and conclude SaaS and on-premises B2B software licensing agreements and other technology-related contracts with our customers
    • Working closely with our global sales team to negotiate enterprise level SaaS agreements
    • Implementing scalable contracting frameworks and standards to support a business in high growth mode
    • Supporting all areas of the business by drafting and negotiating a variety of commercial agreements
    • Support the continuous improvement of standard form agreements and legal processes
    • Wearing multiple hats depending on the day by providing general legal advice and counsel to our global team
    • Advising business stakeholders, taking into account the relevant legal issues and risks, agreement structures, approval processes, and company policies and procedures
    • Managing outside counsel as needed
    • Identify and communicate key risks, present potential solutions and escalate to senior stakeholders for decisions.
    • Develop, draft, optimize and continuously improve legal processes and templated commercial agreements.
    • Support continuous improvements of forms, policies and processes to help streamline, simplify and automate the contracting process.
    • Facilitating calls with internal and external business, IT and legal stakeholders, explaining and negotiating contract terms
    • Work closely with the business supporting the development of new products and services from the legal perspective and adapt to the changing needs of an expanding business.
    • Provide accessible guidance to the business on topics such as data and regulatory compliance.
    • Facilitate and maintain successful relations with external counsel, sales team and other stakeholders.
    • Take ownership for upcoming legal and compliance developments that will impact the business.

Sound like you?

    • 5+ years experience of working in-house and/or at a law firm counseling companies on technology transactions (in-house experience at a SaaS technology company a plus)
    • JD from an accredited US law school, Bar admission in good standing
    • Comfortable negotiating data privacy agreements, including a working knowledge of GDPR and CCPA as they relate to commercial contracts
    • Experience in a technology/SAAS business.
    • Experience in a start-up / scale up environment.
    • Working knowledge of SalesForce and contract management systems.
