About This Position
We are looking for a Transactional Paralegal to join our dynamic, friendly, and innovative Project Finance and Strategic Transactions Legal team. This position will interface regularly with all functional teams across the organization.

Responsibilities and Duties

    • The Transactional Paralegal will:
    • Train new team members. 
    • Assist attorneys with the preparation and review of documentation related to financial transactions, including loan agreements, security agreements, tax equity, mergers and acquisitions, and other closing documents.
    • Review project and corporate records to create disclosure schedules. Manage and organize transaction files, ensuring all documents are properly filed and easily accessible.
    • Coordinate the closing process of financial transactions, including scheduling, preparation of closing checklists, and distribution of executed documents.
    • Manage documentation for construction loan draws and rep bringdowns. 
    • Prepare and file UCC financing statements, UCC searches and other necessary corporate filings and searches.
    • Assist with post-closing activities, including tracking and ensuring compliance with post-closing obligations.
    • Liaise with clients, opposing counsel, and other parties involved in transactions to facilitate communication and document exchange.
    • Conduct legal and factual research as needed to support transaction-related activities.
    • Maintain and update transaction status reports and other tracking tools.
    • Identify opportunities for improvement of internal processes. 
    • Provide general administrative support to attorneys and other team members as required.

Qualifications and Skills

    • Bachelor’s Degree preferred
    • Strong computer skills, including Microsoft Office and Adobe
    •  Excellent organizational skills with the ability to manage multiple projects and deadlines
    • Excellent communication skills, both written and verbal, to convey complex information in a clear and concise mannerExceptional attention to detail and accuracy
    • Excellent interpersonal skills with a collaborative attitude
    • Ability to handle self under pressure, work independently and follow through on tasks to completion in a timely manner

Physical & Sensory Requirements

    • Position requires some travel for company-wide meetups: ~5 weeks total through a calendar year

Salary & Benefits

    • Salary: $70,000- $80,000 USD base salary with 20-30% annual target bonus
