As part of the Operations Team, the Senior Counsel serves as a trusted advisor to business leadership, and has a direct impact through strategic execution across the organization. JupiterOne's Senior Counsel serves as a partner to our business ensuring compliance and adherence to legal requirements concerning commercial contracts, intellectual property and patents, privacy regulations, risk management, and other regulatory compliance, as well as supporting internal teams with ad hoc legal guidance and support. The Senior Counsel reports directly to the VP, Operations & Finance. What you will do:
- Primary responsibility: draft, review, negotiate, and revise a wide variety of commercial contracts (i.e. NDA, MSA, Vendor, Partner, Alliance, Contractor, and other agreements, SOW, Privacy, Data Transfer, etc.)
- Ensure regulatory compliance to include, but not limited to privacy, and other business practices (i.e. export control laws and data privacy laws, such as GDPR, Federal & State Privacy regulations, such as FCPA, GLBA, HIPAA, Sarbanes-Oxley, as applicable)
- Administer policies and procedures to protect and defend Intellectual Property, inventions, and other works attributed to JupiterOne
- Partner with internal teams to conduct audits, assessments, and risk mitigation to ensure continuous compliance and improvement
- Recommend, prepare, and file for patents, trademarks, copyrights, rights assignments, and other filings as needed
- Conduct research and prepare reports, assessments, summations, and findings; present to Executive Team & Board of Directors
- Investor Relations, Startup Fundraising, & Equity Plan Administration as needed
- Serve as coach and educator for legal matters; conduct internal courses/webinars as needed
- Provide hands-on strategic legal support and guidance across all areas of the organization
- Other duties as assigned
Qualifications:
- Juris Doctorate degree with state member in good standing to practice law in North Carolina
- 3+ years of experience in SaaS Commercial Contract, CyberSecurity, IP/Patent, and Privacy experience required with a track record of stellar performance and increasing responsibilities
- Ability to simultaneously support internal and external customers efficiently
- Effective communication and negotiation skills, with ability to assess needs and produce outcomes in a timely manner
- Ability to travel as needed across US and globally
- Ability to provide U.S. work authorization that does not require employer sponsorship
- Raleigh, NC location preferred; will consider outstanding candidates outside of North Carolina for remote role
$140,000 - $200,000 a year
JupiterOne's competitive compensation packages for salaried roles include base salary, equity, variable/incentive pay, perks, and benefits. Cash compensation is determined by a variety of factors, to include job family, function, level, and geographic location, that are benchmarked against current market data.
The base salary range for this position is $140,000-$200,000*
*Final compensation packages are determined by multiple factors such as individual depth of experience, education, qualifications, certifications, performance level, specialized expertise, and geographic location.
