Consistent with the Legal Department’s goal to enhance and strengthen the Company's existing contracting and contract management, the Legal Department requires a qualified Commercial and/or Corporate Paralegal. This role will be located in Conshohocken, PA and require a paralegal with 4-6+ years of paralegal experience with a minimum of 3 years of pharmaceutical experience preferred. Supporting a legal department's needs and experience in the preparation and review of various commercial contracts and standard confidentiality and non-disclosure agreements, legal project management, as well as corporate filings is required
Essential Functions
Draft and initial review, preparation and revision of commercial contracts for attorney's subsequent review and manage and maintain tracking tools and organization of legal workflow and contracts
Manage contract lifecycle from inception through execution of contracts within Madrigal’s contracts database, including organizing electronic contract and matter records as needed
Manage company-wide confidentiality and proprietary obligations including the review and revision of confidentiality/non-disclosure agreements from review, drafting and markup and participate in negotiation and execution as well as return of documents and document destruction upon termination of CDA
Assists with reviewing and revising various types of agreements in support of multiple business units including, Purchase Agreements, Vendor & Service Contracts, Non-Disclosure Agreements, Statements of Work, Master Service Agreements, Licensing Agreements, Quality Agreements, and Pharmacovigilance Agreements
Assist in the preparation and filing of documents required under federal and state securities laws, including Forms 3, 4 and 5 pursuant to Section 16 of the Securities Exchange Act of 1934, as amended
Support the governance activities and functions Madrigal and its Board of Directors
Contribute to and/or lead project management of special projects as tasked by attorneys in the Legal Department, such as compiling information for filings, liaising with business partners and tracking and managing on-going projects with business partners
Coordinates and tracks all state licenses and licensing requirements and liases with commercial teams to ensure filings are up to date, including State Drug Price Transparency and Sunshine Act reporting obligations
Perform cross-functional coordination with business persons requesting Legal's review or preparation of contracts
Perform administrative tasks and projects for various attorneys in the legal department on an as-needed basis
Conduct research and gather information using general and legal research tools
Education
Bachelors Degree (BA/BS) and years of work experience will be considered in lieu of a bachelors degree - Required
Vocational / Technical - Paralegal Certificate - years of work experience will be considered in lieu of a bachelors degree - Required
Work Experience
4 - 6+ years of paralegal experience, either with a law firm or the legal department of a large, multinational corporation - Required
3 years or more of pharmaceutical experience including supporting pharmaceutical Legal and/or Compliance departments programs - Preferred

Expertise in MS Word, Excel, PowerPoint, Outlook, Adobe Acrobat, and Cloud based file sharing programs including databases
Specialized Knowledge
Knowledge in implementation and management of compliance program and processes
