Senior Corporate Governance & Securities Paralegal
Job Summary
We are looking for a highly skilled and motivated Senior Corporate Governance & Securities Paralegal to join our legal team at MeridianLink. In this critical role, you will play a key part in supporting a broad range of public company governance, securities reporting, and compliance matters. Reporting directly to the Deputy General Counsel & Assistant Secretary, you will work closely with senior leadership and cross-functional teams across the organization. This is an exciting opportunity for an experienced legal professional to contribute to a fast-paced, high-growth public company while ensuring adherence to legal and regulatory requirements.
RESPONSIBILITIES
•Support the preparation and filing of SEC reports (e.g., Forms 8-K, 10-Q, 10-K, and proxy statements) and all Section 16 reporting requirements
•Manage the administration of the annual meeting of stockholders and assist with the preparation of the proxy statement
•Support the preparation and coordination of board and committee meetings and matters, including maintenance of the corporate calendar and preparation of appropriate draft documents such as agendas, materials, resolutions, and written consents
•Maintain corporate records (including minutes books), charters, and governance policies
•Assist with subsidiary management and corporate entity maintenance (e.g., state filings, D&O lists, entity fact sheets, formation and dissolution processes)
•Administer D&O questionnaires and assist with any D&O diligence processes
•Work with accounting and compliance to accurately maintain the related party list
•Support internal and external audits (including requests for corporate records, organizational charts, and legal letters) and regulatory inquiries as needed
•Assist during corporate transactions, as well as with due diligence efforts and follow-on compliance as needed
•Work on special projects as needed, with the ability to work in a fast-paced, ever-evolving environment
•Maintain and improve legal operations systems, including document management and compliance tracking
•Help develop and implement scalable processes and tools to streamline governance and securities workflows
QUALIFICATIONS
•7+ years of relevant experience focusing on public company governance and securities law compliance matters at in-house legal department for a public company and/or law firm
•Bachelor's degree required; completion of ABA-approved paralegal program a plus
•Strong knowledge of U.S. securities laws, corporate governance practices, and public company reporting (e.g., 1934 Act, Section 16, and NYSE reporting)
•Must be an independent and strategic thinker who is a strong team player (no job is too small or too large) and willing to take on additional responsibilities
•Enjoy working in a rapidly changing, disruptive business
•Strong interpersonal and communication skills
•Exceptional attention to detail, project management and organizational skills
•Effective planning and organizational skills to prioritize key areas of responsibility, tasks and concurrent projects in a high-pressure environment
•Proficiency with legal operations tools (e.g., Boardvantage, Workiva, entity management platforms)

Salary range of $88,000 to $129,100 (It is not typical for offers to be made at or near the top of the range.) The actual salary will be determined based on experience and other job-related factors permitted by law including geographical location.
