Where do you come into the picture?
 
Nium’s Global Legal Team works at the intersection of financial technology and regulatory frameworks. Our work helps Nium build innovative products, understand and manage risks, and creatively navigate complexity and challenges. 
 
We’re looking for a fast-learning and dynamic Senior Corporate Counsel, based in our Singapore office, to lead corporate governance matters for Nium’s international subsidiaries and provide support for Nium’s parent company governance. If hired, you will oversee the management of subsidiaries across the globe, including coordinating and preparing for board meetings and approvals and managing governance requirements for our regulatory licenses. Additionally, you will assist with special legal projects in multiple other subject areas, including M&A, fundraising, equity, IP and employment. You will report into Nium’s Head of Corporate Legal, based in our San Francisco office, and this is a great opportunity to join the Nium legal team and work on a variety of cutting-edge legal issues.  If you’re excited about working in a fast-paced environment and scaling an international governance program, we’d love to speak with you!

What would a day in your life @ Nium look like?

    • Lead all subsidiary governance work, including board meetings, state filings, resolutions and consents, and provide support for Nium Pte. Ltd. (parent company) governance.
    • Lead subsidiary board meetings and serve as the primary legal representative.
    • Liaise and coordinate with product & regulatory counsel to ensure compliance with governance requirements under our regulatory licenses around the world.
    • Partner with our finance team and local corporate secretaries to approve intercompany arrangements, such as capital contributions and share issuances.
    • Assist with special legal projects in multiple subject areas, including M&A, fundraising, equity, IP and employment.
    • Work with our internal business, regulatory, tax, accounting and compliance teams, as well as with external advisors and experts.
    • Assist with D&O questionnaires, related party transactions and conflicts of interest matters for directors and officers.
    • Conduct legal research on a variety of complex corporate governance issues.
    • Work collaboratively to prioritize business objectives and support the corporate aspects of being an internationally regulated company.

What we’re looking for?

    • 5+ years of relevant corporate experience at a major law firm and/or in-house experience, with experience managing a portfolio of subsidiaries being a plus.
    • A combination of both in-house and law firm practice experience is preferred
    • Familiarity with corporate governance requirements
    • Excellent research and writing skills and project management ability
    • Ability to be the primary in-house attorney on certain corporate projects, including handling multiple simultaneous matters
    • The ability to effectively collaborate with large, cross functional teams
    • Biased towards action and impact, and no task is too big or too small for you; you can roll up your sleeves and get things done.
    • Exceptional verbal and interpersonal communication skills, can build strong relationships with business colleagues, and can simplify legal concepts and communicate them in easy-to-understand language.
    • Exhibit genuine curiosity, are passionate about your work, and enjoy a fast-paced working environment.
    • Humble with low-ego, have a strong desire to grow and learn, and have a deep commitment to your teammates.
