We are looking for a full-time Associate General Counsel, Commercial. As Associate General Counsel, you will help to accelerate Ouster’s growth by serving as the primary legal contact for all global commercial matters. You will work closely with our commercial and product teams, playing an integral role in developing and scaling the commercial framework for Ouster’s ever-growing portfolio of innovative products – including its digital lidar sensors and its perception software solutions. 

This position reports directly to Ouster’s General Counsel located in California.

RESPONSIBILITIES:

    • Review, draft, and negotiate a wide variety of commercial agreements and amendments, including strategic customer agreements, reseller agreements, integrator agreements, licensing agreements, and procurement agreements.
    • Work with teams across commercial, finance, engineering, and supply chain to ensure commercial terms align with company objectives and priorities.
    • Help ensure ongoing compliance with contractual commitments and provide practical, solutions-oriented advice to help client teams navigate issues that may arise.
    • Create or update contract templates as our business evolves and grows.
    • Collaborate with Ouster’s contracts administrator to develop and implement scalable strategies and processes to streamline commercial legal workflows and enhance overall efficiency (e.g., improve deal review and automate approval processes).
    • Stay apprised of the ever-changing laws affecting Ouster’s business and ensure that contractual terms comply with state and federal law.
    • Provide training and develop resources in support of our sales team.
    • Work closely on new products that require creative legal guidance and balance risk versus reward.
    • Additionally, as a member of a small legal team, you will also have ample opportunity (and be expected to) work on matters outside of your core responsibilities.

REQUIRED QUALIFICATIONS:

    • Juris Doctor, Master’s in Law, or equivalent.
    • Qualified to practice law in the jurisdiction in which you are located.
    • 9+ years of technology transactions, licensing, commercial agreements, or other relevant transactional experience.
    • Proven ability to draft and negotiate complex global commercial contracts, advise executive management, and facilitate teamwork by encouraging relationships, counseling, collaborating, and effectively communicating with teammates and cross-functional partners.
    • Verbal and written fluency in English.
    • Experience operating independently and globally.
    • Working knowledge of Google Suite, Microsoft Office Suite, Adobe, and Zoom. 

 PREFERRED QUALIFICATIONS:

    • 3+ years of in-house experience at hardware or hardware-based solutions companies.
    • Previous experience with emerging technologies subject to rapid developments and no precedence.
    • Previous experience with government and/or automotive counterparties. 
    • Business and Legal fluency in languages other than English, preferably German or French.
