**Travel to Office expectations**
For Remote Roles: If this role is remote, there will be in-office events that will require travel to and from the Mississauga and/or Salt Lake City office. These will include, but not limited to, onboarding, team events, semi-annual and annual team meetings.
For Hybrid Roles: If this role is Hybrid, there will be an expectation to reside within commutable distance to the office/location specified in the job listing. This will include, but not limited to, weekly/bi-weekly/monthly events in the office with your specific team. This is a requirement for this role.
Position Summary:
The Legal Counsel will play a pivotal role in supporting the company’s legal and business objectives by providing expert legal advice, drafting and negotiating a variety of commercial and technology agreements, and ensuring compliance with applicable laws and regulations. This position requires a proactive, business-oriented lawyer who thrives in a fast-paced environment, collaborates effectively with cross-functional teams, and demonstrates strong judgment, integrity, and communication skills. The Legal Counsel will contribute to process improvements, risk management, and the overall success of the Legal Department, while helping drive innovation and operational excellence.
Key Responsibilities:
- Contract Drafting & Negotiation
- Draft, review, and negotiate a wide range of commercial agreements, including:
- Master Services Agreements (MSAs)
- Partnership and collaboration agreements
- Confidentiality and Non-Disclosure Agreements (NDAs)
- Business Associate Agreements (BAAs)
- SaaS agreements, software licenses, and technology agreements
- Subcontractor and supplier agreements
- Statements of Work (SOWs) and related documentation
- Legal Advisory & Risk Management
- Advise internal stakeholders on legal risks, contractual obligations, and compliance requirements for new products, services, and business initiatives.
- Provide practical, business-oriented legal advice and solutions.
- Conduct legal research and provide guidance on emerging legal issues, including privacy, data security, and regulatory matters.
- Compliance & Policy Support
- Support the development and implementation of company policies and procedures to ensure compliance with applicable laws and regulations.
- Assist with Canadian and U.S. information privacy and healthcare regulatory compliance (e.g., HIPAA, PHIPA, and provincial equivalents).
- Participate in training and knowledge-sharing sessions to promote legal awareness and best practices across the organization.
- Dispute Resolution & External Counsel Coordination
- Assist with the management and resolution of disputes and pre-litigation matters.
- Coordinate with external counsel as needed.
- Process Improvement & Departmental Initiatives
- Contribute to process improvement initiatives within the Legal Department, including the adoption of legal technology and automation tools.
- Provide support on special projects and other duties as assigned by the Associate General Counsel.
- Demonstrate flexibility to assist the Legal Department in its activities and mission as needs arise.
Required Skills & Experience:
- Juris Doctor (JD) degree and active membership in an applicable law society or U.S. state bar.
- 3–5 years of post-qualification experience, preferably with a mix of law firm and in-house roles.
- Demonstrated ability to independently negotiate complex business transactions under tight deadlines.
- Strong analytical and problem-solving skills, with the capacity to address complicated legal and business challenges.
- Excellent judgment, integrity, and discretion in handling sensitive matters.
- Superior written and verbal communication skills, with the ability to explain legal concepts to non-legal audiences.
- High attention to detail and organizational skills.
- Self-starter with the ability to work independently and as part of a collaborative team.
- Strong client service orientation and ability to build effective working relationships with stakeholders at all levels.
- Flexibility to support the Legal Department’s evolving needs and mission.
- Interest or experience in process improvement, legal technology, and prompt engineering is an asset.
Preferred Experience:
- Experience with health care information technology licensing and SaaS licensing.
- Familiarity with Canadian and U.S. information privacy laws and compliance (e.g., HIPAA, PHIPA, and provincial equivalents).
- Knowledge of Canadian and U.S. health care regulatory frameworks.
- Prior exposure to privacy, cybersecurity, and data protection issues in a technology-driven environment.
$126,000 - $140,000 a year
At PointClickCare, base salary is one of the many components that make up our total rewards package. The Canada base salary range for this position is $126,000 - $140,000 + bonus + benefits, non-overtime eligible. Our salary ranges are determined by job and level. The range displayed on each job posting reflects the target for new hire salaries for the position across all Canada locations. Within the range, individual compensation is determined by job-related skills and knowledge, relevant experience including professional and lived experience, and/or work location.
