The TAS team supports private equity, direct lenders and corporate clients with financial, tax and operational due diligence, analytics and accounting connected with mergers, acquisitions, divestiture and other corporate actions. The TAS practice is currently seeking a Managing Director, TAS // M&A Tax with extensive federal M&A and tax structuring experience to assess a company’s tax risks and opportunities, applying and interpreting income tax law and conducting comprehensive discussions with management and their advisors. This leader will assume a wide set of responsibilities across buy-side and sell-side transactions, divestitures and carve outs working alongside our performance improvement, turnaround and restructuring and investment banking practices to assess a company’s tax risks and opportunities, applying and interpreting income tax law and conducting comprehensive discussions with management and their advisors. This role represents a unique opportunity for a highly motivated professional to increase value through thoughtful tax-advantaged transaction structuring. Qualified individuals will work within a collaborative team environment to assess, identify and mitigate key tax exposure diligence and structuring related risks. The Managing Director, TAS // M&A Tax leader should be prepared to work within a small, collaborative team environment to manage discrete workstreams.

Responsibilities

    • Develop comprehensive solutions to complex transactional challenges by working directly with senior personnel at Portage Point and our clients
    • Perform tax due diligence, tax structuring and tax modeling in connection with transactions across various industries with a focus on middle-market
    • Identify and analyze tax risks and opportunities while advising both strategic and private equity buyers and sellers on alternative tax strategies for acquisition, disposition and restructuring of businesses
    • Leverage tax technical knowledge to lead engagement teams in performing buy- and sell-side due diligence and developing tax-efficient acquisition and divestiture structures
    • Conduct, develop, oversee and review tax due diligence, tax structuring and tax modeling workstreams including but not limited to identification and mitigation of relevant historical and projected tax risks, tax-advantage structuring, optimizing and preserving valuable tax attributes, mitigating tax costs related to cancellation of indebtedness income and worthless stock deduction analysis, conducting Section 382 and transaction cost analyses
    • Manage various technical tax issues dealing with consolidated returns, S Corporations, partnerships and limited liability companies
    • Review and analyze merger agreements and providing opinion letters
    • Expand tax research skills through deep exploration of complex technical tax issues across a broad spectrum of tax law
    • Review complex tax financial models
    • Contribute to the origination and selling of projects including experience pitching to or partnering with senior executives, private equity firms, corporate and other related buyers
    • Participate in cross-selling of other services offered by the firm
    • Participate in strategic marketing and branding initiatives to highlight the firm’s M&A Tax practice capabilities
    • Collaborate closely with performance improvement, restructuring and investment banking colleagues
    • Provide professional development coaching to junior team members
    • Share and manage best practices as well as lead internal trainings where required
    • Lead talent acquisition and firm development efforts
    • Contribute to creating a high-performing and inclusive culture

Qualifications

    • Bachelor’s degree from a top undergraduate program
    • Located or willing to relocate to Atlanta, Chicago, Dallas, Los Angeles, New York or Philadelphia
    • Invested in a team-based culture that involves in office four days per week and willing to work at client sites as needed
    • 15 plus years of tax advisory experience or a combination of audit, tax and financial due diligence experience within a Big 4 accounting firm
    • Knowledge of a broad range of corporate tax matters in various industries
    • Proven ability to articulate complex information when providing crucial negotiation insights
    • Technically competent across multiple US federal, international and state income tax disciplines
    • Fundamental working knowledge of all or essentially all non-income based federal, state and foreign tax regimes, including but not limited to indirect, payroll, property and ad valorem taxes
    • Understanding of US GAAP, including the accounting for income tax principles
    • Experience with tax controversy and procedure
    • Ability to successfully work in a small, collaborative team environment
    • High degree of maturity with a proven ability to interact with senior executives, private equity firms, lenders, lawyers, middle managers and line workers
    • Effectively communicates analysis through Microsoft Word, Excel, Outlook and PowerPoint including high-quality messaging, structure and formatting
    • Eagerness to be responsive at all times
    • Proven track-record of success in high pressure, time-constrained environments
    • Excellent written and verbal communication skills including strong e-mail etiquette
    • Top-tier organizational skills and attention to detail

$550,000 - $900,000 a year
The City of New York and the State of California require Portage Point to provide compensation information for this role. This range represents the anticipated minimum and maximum base + bonus for this position based upon a good faith and reasonable estimate. The final compensation for this position will be set based on the applicant’s qualifications (education, training and/or experience related to this role), and therefore, may fall outside the range shown, depending on the circumstances.
