About the Role:
Recast Software is looking for a Corporate Counsel to join our fast-growing team. In this key role, you will provide strategic legal guidance on vendor and customer contracts, privacy, compliance, and high-impact initiatives. Reporting to the President & CFO, you will collaborate with internal stakeholders to drive business success while managing risk and ensuring regulatory compliance. The ideal candidate is a proactive problem-solver with experience in privacy laws (e.g., GDPR), working with outside counsel, and navigating legal complexities in acquisitions—all while demonstrating high emotional intelligence, strong communication skills, and a collaborative mindset. 

Key Role Responsibilities:

    • Contract Management: Draft, review, negotiate, and finalize a range of commercial contracts, including vendor agreements, customer contracts, and licensing agreements to support ongoing business needs. 
    • Privacy & Data Protection: Oversee the company's compliance with global privacy laws, including GDPR, CCPA, and related privacy regulations. Serve as the primary point of contact for data protection issues and advise internal teams on privacy best practices. 
    • Compliance & Regulatory Oversight: Ensure that the company remains compliant with applicable laws and industry regulations, implementing and updating internal policies as needed. Provide guidance on compliance matters related to SaaS products and operations. 
    • Acquisitions & Strategic Projects: Coordinate with outside counsel on projects related to acquisitions, mergers, and other strategic initiatives. Provide legal support for due diligence, integration, and post-acquisition processes. 
    • Stakeholder Collaboration: Act as a trusted legal advisor to internal stakeholders, including the sales, procurement, HR, finance, and operations teams. Effectively communicate complex legal concepts and counsel to a diverse range of professionals. 
    • Outside Counsel Coordination: Partner with and manage outside counsel on specialized matters, such as mergers and acquisitions, complex compliance issues, and litigation as necessary. 
    • Risk Mitigation: Identify potential legal risks in all areas of the business and develop strategies to mitigate them. Provide proactive legal counsel to business teams on risks, liabilities, and strategic opportunities. 

Minimum Requitements:

    • Juris Doctor (JD) degree from an accredited law school; member in good standing of a state bar. 
    • 5+ years of relevant experience in a corporate or SaaS environment, preferably with experience in-house at a tech company. 
    • Strong experience negotiating and managing a variety of contracts, with specific expertise in vendor and customer agreements. 
    • Willingness learn and advise on global privacy laws, including GDPR, CCPA, and other data protection regulations. 
    • Proven ability to work independently and prioritize tasks while adapting to shifting priorities. 
    • Ability to assist on acquisition-related projects, including coordinating due diligence and post-acquisition integration. 
    • Excellent communication skills with the ability to convey complex legal concepts to non-legal stakeholders. 
    • Experience working with outside counsel and managing external resources effectively. 

Preferred Knowledge and Skills:

    • Background in SaaS or tech industry highly preferred. 
    • In-depth knowledge of global privacy laws, including GDPR, CCPA, and other data protection regulations. 
    • Experience in international markets and cross-border data privacy considerations. 
    • Experience handling employment law matters, including advising on policies, compliance, and risk mitigation in a global or remote-first environment. 
    • Demonstrated experience working on acquisition-related projects, including coordinating due diligence and post-acquisition integration.

Compensation, Benefits, & Perks: 
• The salary range for this position is $160,000-$210,000. Additionally, cash compensation for this role includes 10% annual discretionary bonus potential. Salary may vary based on experience, skills, and geographical location.
