Leverage your operational, legal, admin, and technology skills at a DC metro area private equity fund. Sunwater Capital is seeking an experienced Corporate Paralegal to support its Legal, HR, and Operations departments. Sunwater Capital is a North Bethesda-based private equity fund and asset management firm covering real estate and healthcare. 
 
The Corporate Paralegal will be responsible for contract management and administration, operational compliance, corporate and legal filings, maintaining general operations, special projects, and monitoring renewals, project milestones, and deadlines. The Corporate Paralegal will report to the firm’s General Counsel and will work closely with the Sr. HR Manager and Executive Leadership to ensure administrative cohesion between departments.  

Compliance, Governance, and Contract Management

    • Manages legal and compliance deadline calendar 
    • Supports corporate secretarial and filing functions (e.g.organization of and applications for company government filings, procuring Certificates of Good Standing, corporate minutes, etc.) 
    • Manages internal transaction filings and record keeping 
    • Administers state and federal filings 
    • Manages and tracks contracts including renewals, expirations and post-execution deliverables and deadlines 
    • Oversees all signature processes, and coordinates any necessary notarizations

HR, Operations, and Payroll Support

    • Assists with HR compliance by managing employment agreements, contracts, NDAs, and I9 documentation
    • Responsible for maintaining policy documentation
    • Updates and administers employment documentation
    • Partners with Sr. HR Manager to research employment-related local and federal compliance updates
    • Coordinates with Payroll to update state and federal tax requirements
    • Implements, maintains systems and process for vendor contract and relationship management (eg., Insurance, IT providers, operational, and security agreements)

REQUIRED EXPERIENCE & QUALIFICATIONS:

    • Bachelor’s degree
    • 3+ years of corporate law experience
    • Experience with cloud applications, Microsoft 365, and project management software
    • Exceptional research and project management skills
    • Extremely organized and process-oriented
    • Diligent with a high attention to detail and commitment to process improvement
