Role Summary:
The Associate General Counsel, Commercial Healthcare, will lead the legal aspects of critical commercial contracts with Sword clients, including health plans, large employers and partners/resellers. This role requires experience supporting go-to-market, sales and product teams in the cross-section of healthcare, technology and services delivery. This role will also play a critical role in ensuring Sword’s adherence to healthcare laws, regulations and compliance standards related to its products and commercial relationships. This role requires experience with healthcare regulatory requirements and agency matters, such as HIPAA, FDA, CMS, and state-specific regulations as needed to provide commercial and operational support for healthcare and health tech products and services. This individual will be part of a small, high-functioning legal team that works closely with compliance, commercial, clinical, finance and operations teams to develop commercial deal strategies, move contracts to execution and support post-execution client support needs, while mitigating risks and ensuring regulatory compliance, all to enable Sword to operate with confidence and integrity.
Key Responsibilities:
- Commercial Support: Provide legal support on healthcare and technology-related commercial agreements with healthcare plan and employer clients, vendors, and business partners. Collaborate with the sales and business teams to structure compliant and commercially viable commercial relationships.
- Contracting Expertise: Draft, review and negotiate complex healthcare, technology and business services contracts and supporting documents. Experience supporting multiple deals at the same time in a fast-paced environment.
- Regulatory Compliance: Ensure compliance during commercial deal-making with applicable healthcare, technology, privacy and other laws, regulations, and guidelines, such as Fraud and Abuse regulations, HIPAA and state practice acts.
- Risk Management: Assess potential legal and compliance risks associated with commercial deals and the delivery of existing products and services, and new business initiatives.
- Stakeholder Collaboration: Collaborate closely with the legal, compliance, regulatory affairs, commercial and finance teams to support the development and implementation of business initiatives within the boundaries of healthcare law.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school and membership in at least one state bar.
- 10+ years of legal experience, with at least 5 years focused on healthcare and technology-related commercial matters, preferably in an in-house setting or healthcare law firm.
- Extensive experience independently drafting, reviewing and negotiating all types of healthcare and technology contracts, including master services agreements, vendor agreements, statements of work, business associate agreements, data sharing agreements, etc. Demonstrable legal contract management skills capable of supporting multiple deals simultaneously from first pitch to signature and on through performance.
- Extensive knowledge of healthcare regulations, including HIPAA, FDA, CMS, and the Fraud and Abuse regulations, with practical experience managing compliance and regulatory requirements when delivering products and services to customers.
- Proven ability to work cross-functionally and influence stakeholders at all levels of the organization.
- Excellent analytical skills, attention to detail, and ability to communicate complex legal concepts clearly and concisely.
- Demonstrated ability to work independently in a fast-paced environment and handle multiple priorities.
Preferred Qualifications:
- Experience working in healthcare technology, digital health, pharmaceuticals, medical devices, etc.
- Familiarity with Federal and state-specific healthcare regulations and ability to adapt to a dynamic regulatory landscape.
