2025 General Counsel, New Affiliated Entity

  • Do you have experience with, and are you happy and comfortable working with, venture-backed technology companies, including early-stage, fast-paced, scrappy start-ups?✱
  • Do you have experience with, and are you happy and comfortable, partnering closely with founders and leadership to give practical legal advice and drive business goals?✱
  • Do you have extensive experience reviewing and negotiating the various investment documents commonly used in standard VC deals, such as SAFEs, preferred stock purchase agreements, and entity formation documents for new LLCs and corporate entities? If so, please describe your experience and the types of documents you’ve worked with.✱
  • Do you have experience signing investment documents on behalf of an entity or client as an authorized agent and would you be willing to do so?✱
  • Have you had experience with, and were you comfortable with the responsibility that came from receiving and having custody over client funds - such as at a law firm or as a solo practitioner?✱
  • Have you ever received and dispersed client money pursuant to a limited power of attorney, trust, or similar arrangement?✱
  • Are you comfortable with the responsibility that comes with – receiving, handling, and sending client funds?✱
  • Would you be willing and able to accept the responsibility of receiving client funds into a bank account in your name and dispersing those funds in accordance with client directives, pursuant to an instrument such as a limited POA?✱
  • Do you have experience working for or managing a law practice (such as a solo practitioner or partner of a law firm) or as the managing attorney of a captive law firm?✱
  • If deemed necessary, would you be comfortable setting up and being responsible for managing a captive law firm?✱
  • Do you have experience with cross-border, international business and financial transactions, particularly with early-stage venture-backed technology companies?✱
  • Do you have a strong and working familiarity with AML, KYC, UBO and related financial and banking requirements?✱
  • Have you ever been refused admission to the practice of law or been disciplined or suspended by the bar (or equivalent supervisory organ) anywhere in the world, including without limitation, the bar of any state of the United States or the District of Columbia?✱
