In-House Legal Counsel

We are looking for an In-House Legal Counsel to join our Trust & Compliance team. In this role, you will work closely with our Corporate Counsel and be a true business partner to add value for the whole Traction Guest team!

    • A qualified lawyer with a minimum of 2 years of legal experience in a commercial role, in the technology sector
    • Experienced in dealing with a range of commercial contracts and licence agreements such as API/Integration licence agreements, partnership agreements, Saas agreements
    • Experience with privacy and data protection law an asset
    • Understanding of the complexities and pressures associated with complex technical and outsourcing agreements and mixed delivery supply models is desirable
    • Demonstrable knowledge and experience in legal issues relation to engineering and technology, and a commercially aware approach to legal matters
    • Demonstrable negotiation skills and utilizing technical/business and legal information with the ability to achieve the desired outcome
    • Understanding of the issues involved in and experience of working with multidisciplinary teams
    • Clear and concise communicator with the ability to shift style to accommodate a variety of audiences, and create effective working relationships with key contacts internal and external
    • Legal Degree and a current bar admission in a Canadian province. A US bar admission or other common law jurisdictions will be considered

What You Will Be Doing

    • Negotiating, drafting, reviewing, and managing Traction Guest general agreements (MNDAs, data protection agreements, employment agreements, procurement agreements),  commercial and technology agreements to ensure legal interest are protected and best value from its commercial relationships
    • To lead and support on drafting and negotiating of other engineering and technology agreements to help grow the integrator and partnership programTo ensure compliance with responsibilities under the various contracts, and to aid the effective resolution of any disputes
    • To ensure compliance with all relevant legislation, and in particular with data protection laws 
    • To identify legal issues and risks relevant to the different projects, and advise the business on strategies and solutions for mitigating such legal issues and risk
    • Working closely with security and compliance teams to ensure (i) legal and commercial objectives of third party contracts are effectively tracked and delivered (ii) up-to-date records of third party contracts are maintained and IPR is effectively managed (iii) effective and timely support and advice is provided, and communicated between the organization and its technology suppliers
    • To be a source of knowledge to stakeholders on the key terms and conditions of commercial, and technology contracts, and provide guidance and training as appropriate 
    • To ensure all third party agreements are consistent with policies and guidelinesWorking with external counsel to obtain their subject matter expertise, where appropriate
    • Reviewing and working with relevant stakeholders to revise corporate policies and processes
    • Contributing to and conducting employee compliance training, particularly to the leadership and sales teams
    • Reviewing and revising marketing materials to ensure compliance with applicable anti-spam and privacy legislation
    • Keeping informed of relevant legislative changes and training stakeholders as appropriate
