Position Summary     
 
The Ethics & Compliance function advises, collaborates with, reports progress and helps safeguard the business through a highly effective and accountable team that reinforces a culture of ethics and compliance across the group.
 
As team leader for the group function, you will be based in VEON’s HQ in Amsterdam but will work closely with compliance heads in each VEON Operating Company to ensure a continued strong and comprehensive approach to compliance and business ethics needed to protect VEON Groups businesses and stakeholders. This is a Group Director level role and you will report to the Group General Counsel.
 
Key Responsibilities:
 
•           The position will help ensure senior management and leaders uphold and encourage a culture of integrity through modeling behavior and transparent communications.
•           The position is responsible for establishing the overarching strategy & tactics for implementing and maintaining VEON’s global Ethics & Compliance function
•           Work with the OpCo’s Ethics & Compliance leadership on the resource, planning & budget management of their teams, ensuring talent is developed, performing at an optimal level to maintain a high performance function.
•           Supports the business with a view to having all processes, procedures and activities performed in accordance with Code of Conduct and relevant legal and regulatory requirements, keeping employees engaged and energized about ethics and compliance.
•           Acts as an independent review and evaluation body to ensure that compliance issues/concerns within the organization are being appropriately evaluated, investigated and resolved.
•           Identifies potential areas of compliance vulnerability and risk.
•           Ensures that adequate policies, processes and procedures are in place, duly communicated and understood.
•           Monitors the performance of the Compliance Program and relates activities on a continuing basis, taking appropriate steps to improve its effectiveness
•           Develops/implements corrective action plans for resolution of problematic issues, and provides general guidance on how to avoid or deal with similar situations in the future.
•           Provides input concerning all material Group level internal investigations into allegations of violations of law or policies and other misconduct.
•           Works with other assurance and control functions on all aspects of development, maintenance, and enhancement of a program to prevent, detect and respond to potential violations of the Company's Code of Conduct, policies and procedures with an emphasis on case management, enforcement, incentives and discipline.
•           Oversees the tracking and implementation of remediation measures arising from risk assessments, legal and investigative reviews, and internal audits, as such remediation relates to case management, enforcement, incentives and discipline.
•           Serve as a key advisor for senior executives regarding ethics and compliance matters
•           Oversees and provides guidance to the HQ Ethics & Compliance Officers and the OpCos in connection with the compliance risk assessment and testing programs to support continued excellence in compliance assurance testing and to promote a consistent approach across the group.
•           Ensure that we have effective reporting mechanisms, including a highly effective hotline and other effective technologies
•           Oversees and provides VEON Group-level governance with respect to the OpCos’ risk management, compliance and controls programs, with a particular focus on program elements related to anti-bribery and anti-corruption, including participation at relevant OpCo Business Risk Committees and other forums.
•           Provides subject matter expertise, counsel and compliance risk evaluation in connection with relevant compliance aspects of transactions or matters escalated by OpCos for review and approval to HQ and/or the Board of Directors in accordance with the Group Authority Matrix.
•           Manages internal and external support as necessary on compliance initiatives.
•           Participates in OpCo Business Risk Committees
•           Participates if required in Risk, Ethics, and Assurance (REAC) Committee meetings, Audit & Risk (ARC) Committee meetings, Investigations & Disciplinary Committee (IDC) meetings related to the specific Ethics & Compliance topics.
 
Critical Skills & Experience
 
•           Strong communication, leadership and management skills, be collaborative, proactive, entrepreneurial, business focused and able to apply sound, pragmatic judgment in ambiguous situations. 
•           At least 10-15 years of previous work experience in similar roles at a senior level in the fields of Compliance, Legal or Ethics
•           Experienced in a US listed (Nasdaq) environment
•           Master degree in Law
•           Experience in leading compliance function. Track record in advising and influencing senior level (board members and GEC members)  on strategic and operational compliance issues and in developing world class compliance processes in key markets.
•           Track record in providing risk management, audit, governance and assurance advices based on strong business understanding. Proven capacity to make recommendations contributing to strengthen the business performance and the group’s strategic direction.
•           Experience in managing high risks territories from a compliance perspective. Proven capacity to keep up to date knowledge of current and emerging legislation, standards, regulations and compliance monitoring techniques, including international anti-corruption laws. Track record with international regulatory frameworks and expertise in operational, financial, quality assurance, human resources, legal and statutory procedures and regulations.
•           Experience in creating, developing and integrating a best-in-class compliance function. Proven ability to lead global compliance initiatives and to review and evaluate global compliance team and programs. Track record in formulating and implementing understandable recommendations for the development and improvement of the compliance function and framework.
•           Experience in managing compliance projects related to complex IT/technology including cybersecurity, emerging technologies, Core IT process risks or significant IT projects.
•           Track record in promoting a compliance culture by building shared accountability. Proven capacity to lead training programs to equip employees in terms of ethics and compliance.
•           Experience in reporting to the board, top management and others compliance/risk committee that the company is adhering to all the requirements set by the government and regulatory agency under a particular standard.
•           Experience in developing relationships at all levels and in creating trust in the quality and effectiveness of the compliance team’ services.  Proven capacity to manage, collaborate and interact with external advisors in a cost-effective manner and to work with external regulatory organizations and trade associations.
•           Experience in building effective and diverse teams. Track record in attracting and retaining skilled talented individuals as well as taking an active role in developing and mentoring at all levels.
•           Experience in a global company and understanding of what a US listed company is and expects in terms of anti-corruption compliance standards.
