As Corporate Counsel, you will work closely with all members of the Legal and Compliance Department and gain broad exposure to the firm’s trading, research, investor relations, finance, human resources, and operations groups. You will be involved in challenging and innovative projects within a highly collaborative and fast-paced environment that values thoughtful problem-solving, attention to detail, and creativity. This role is a means to make a difference – you will share responsibility with a skilled team for all legal and compliance aspects of the firm’s operations.

Responsibilities

    • Work closely with the firm’s business units (e.g., investor relations, human resources, research, trading, finance, etc.) to support their legal needs
    • Coordinate and implement projects needed to support the firm’s various teams (e.g., international expansion, data centers, data vendors, and contractors)
    • Draft, review, and negotiate a broad variety of commercial contracts
    • Manage general corporate matters and, as necessary, oversee the work of outside counsel (e.g., trading, contract, securities law, corporate governance, real estate, tax, and employment-related matters)
    • Assist and manage a wide array of responsibilities for the firm’s hedge funds, including drafting, reviewing and maintaining the funds and their offering documents, including the negotiating and managing of side letters with current and prospective investors

Requirements

    • J.D. degree
    • Strong record of academic achievement and 2-7 years of relevant work experience
    • Significant exposure to complex commercial, corporate, or transactional matters
    • Superior organizational and project management acumen and a keen eye for detail
    • Efficient productivity; capability to bring projects to fruition in a commercially viable manner; someone with a proven track record of delivering results, both small and large
    • Demonstrably excellent analytical abilities; well-developed numeracy; drafting and verbal communication skills; sound judgment; and a ‘can-do’ cooperative attitude
    • Successful in managing multiple tasks/projects with competing deadlines
    • Willingness to expand legal practice to new areas of the law, including international regulations
    • Working knowledge of relevant portions of key investment management laws and regulations (e.g., Securities Act, Investment Advisers Act, Commodity Exchange Act, Investment Company Act and ERISA) is a plus
    • Familiarity with trading agreements (e.g., prime brokerage and ISDA agreements) is a plus
    • Authorization to work in the United States
    • This position is available for hybrid in-person work in our Berkeley, CA office or for remote work in the United States; provided travel to Berkeley, CA as requested is required
$150,000 - $200,000 a year
The base salary range for this position is $150,000 to $200,000 in the location(s) of this posting. Individual salaries are determined through a variety of factors, including, but not limited to, education, experience, knowledge, skills, and geography. Base salary does not include other forms of total compensation such as bonus compensation and other benefits. Our benefits package includes medical, dental and vision coverage, life and AD&D insurance, 20 days of paid time off, 9 sick days, and a 401(k) plan with a company match.
